An individual or entity that meets certain financial or professional eligibility criteria—set by the SEC—that qualify them to participate in private securities offerings under Regulation D. The thresholds include, for individuals, a net worth exceeding $1 million (excluding primary residence) or annual income exceeding $200,000 ($300,000 jointly with a spouse). This is a lower bar than the “qualified client” or “qualified purchaser” standards.
