A securities law exemption that allows smaller companies to raise capital from the public with reduced regulatory requirements compared to a full SEC registration. It includes two tiers: Tier 1, allowing raises of up to $20 million in a 12-month period, and Tier 2, allowing raises of up to $75 million.
